挑赞网版权说明及法律条款和条件

Terms and Conditions of TEEZAN

若用户将其设计的图案、图片、LOGO等作品（以下简称“原创作品”）提交、上传至上海挑赞信息科技有限公司运营之网站（www.teezan.com或www.teezan.com.cn）（以下简称“挑赞网”）的，即视为用户已经阅读和同意本法律条款和条件，本协议系用户真实意思表示，具有法律效力。

一、用户提交、上传的原创作品至挑赞网系用户本人创作，拥有原创作品完整的著作权益，该等原创作品不包含其他属于第三方的知识产权作品，也不侵犯第三人的权益。用户提交原创作品不视为将相关知识产权权益转让给挑赞网。

二、用户具有完全、独立的法律地位和法律能力签署、提交并履行本协议, 可以独立地作为一方诉讼主体。用户同意本协议并履行本协议项下义务不会违反任何有关中国的法律、法规以及政府命令, 亦不会与以其作为一方或者对其原创作品有约束力的合同或者协议产生冲突。

三、用户提交至挑赞网的个人信息（包括但不限于用户名、姓名、头像、照片、简历信息、采访视频及影像等）可以由挑赞网或挑赞网指定的第三方使用、广告展示或宣传。

四、用户提交、上传原创作品至挑赞网网站后，用户知晓并同意挑赞网有如下非独占权利：

1、挑赞网有权使用、上传、修改、复制、销售、分销、广告展览该等原创作品，并且可以由挑赞网转发至相关第三方。

2、挑赞网有权将该等原创作品进行宣传，就印有原创作品的销售产品进行委托生产制作、以任何方式销售、分销或运输等。

3、挑赞网有权根据其战略、投票情况、用户购买意向等因素，决定是否将原创作品制作成销售产品，是否刊登、推广、下架用户的原创作品。

4、挑赞网有权制定原创作品、印有原创作品的产品之价格及佣金比例，并不时地修改。

五、若用户提交、上传原创作品至挑赞网网站后欲撤销的，用户应当就该等撤销行为提前30日发送书面邮件至help@teezan.com，但是挑赞网仍可以就已经生产的印有原创作品之产品继续销售、分销、运输等直至全部销售完成。

六、挑赞网在其网站上销售的印有原创作品的产品价格包括生产费用、挑赞网网站管理费、税费、用户佣金、运输费等。仅当该等产品销售成功后，用户可以获得佣金，用户佣金标准为：

1、印有冠军原创作品的产品：佣金为销售额的10%，冠军原创作品系由挑赞网或第三方不定期评出的单个主题项下特定的一幅冠军原创作品。

2、印有挑赞网普通原创作品的产品：佣金为销售额的10%，普通原创作品系由挑赞网或第三方不定期评出的单个主题项下若干原创作品。

3、定制商品：佣金为销售额的10%，定制商品系用户通过网站工具使用用户个人素材或挑赞网图库中的作品制作的产品。

4、众筹商品：佣金为销售额的10%，众筹商品系在所有原创作品投票阶段，印有该等原创作品的产品，只有当众筹商品的销售额已经满足挑赞网规定的数额之后，用户才可以获得佣金。

用户的关于佣金的税费由其自行承担。

七、挑赞网或其分销商以其网站销售以外的方式销售的印有原创作品之产品价格包括生产费用、分销成本、税费、用户佣金、运输费等。仅当该等产品销售成功后，用户可以获得佣金，用户佣金标准为：

1、印有冠军原创作品的产品：佣金为挑赞网对外销售额的5%；

2、印有挑赞网普通上传原创作品的产品：佣金为挑赞网对外销售额的5%。

用户的关于佣金的税费由其自行承担。

八、支付周期、支付方式约定

1、站内佣金：网站以相关订单交易成功且无退款为结算日，由挑赞网系统自动计算佣金并支付至用户在挑赞网的个人账户。

2、站外佣金：网站以相关订单交易成功且无退款为结算日，由挑赞网工作人员计算，并支付至用户在挑赞网指定的支付宝或PAYPAL账户，结算周期为结算日起30天。

九、若挑赞网为推广其网站、品牌需生产推广产品的，如日历、书刊等，挑赞网可以在上述推广产品上使用用户提交、上传的原创作品，且无需支付佣金。

十、若用户违反本条第一条约定的，用户应当退还挑赞网已经支付的所有佣金，若因此给挑赞网造成任何损失的，用户应当全额赔偿。

十一、若用户系中国法律规定不能接受付款的主体的，挑赞网可以拒绝向该用户支付佣金。

十二、若由于使用用户的原创作品引起的就原创作品合法性、销售产品分销、推广等引起的相关的诉讼、追诉、赔偿等要求的，用户应当同意协助挑赞网或其分销商应诉、辩护，且应当保证挑赞网免于受到第三方追索的任何财产损失。若有第三方就原创作品或印有原创作品的产品侵犯用户权益的，用户授权上海挑赞信息科技有限公司代为提起诉讼，追究侵权第三方的责任。

十三、用户保证原创作品符合公序良俗，不含有侮辱、猥亵、蔑视、诽谤、中伤他人、种族歧视等带有偏见性的元素。

十四、本协议自用户提交、上传原创作品至挑赞网网站时生效。挑赞网有权不时地修改本协议条款且该等修改条款自挑赞网公布后立即生效。若用户不同意修改的，可通知挑赞网撤下原创作品或印有原创作品的产品，挑赞网在收到通知之日起30日内撤下原创作品或印有原创作品的产品，但用户同意挑赞网将剩余印有原创作品的产品陈列、推广直至销售完毕，该等撤回行为不影响已经销售的印有原创作品的产品。

十五、若因地震、战争、黑客攻击等不可预见、不可抗拒的原因，导致挑赞网上数据丢失、被盗窃等情况，挑赞网无需承担任何责任。

十六、争议解决

若双方就本协议的签订、履行或与本协议相关的问题产生任何争议的，应当提交上海市杨浦区人民法院解决，适用法律为中华人民共和国法律法规。

By submitting your designs, pictures and LOGOs, etc (hereinafter called “Design”) to www.teezan.com or www.teezan.com.cn which are operated by Shanghai Tiaozan information technology Co.,Ltd (hereinafter collectively called “TEEZAN”), you have read and agreed this Terms and Conditions of TEEZAN which are binding to you and TEEZAN.

1. The Design you submitted are your own original work. You have full copyrights of the Design. The Design do not contain any intellectual property belonging to any third party and do not infringe any rights of any third party. Your submission of the Design do not mean you transfer intellectual property rights to TEEZAN.

2. You represent and warrant that you have the full and dependent right, power and authority to enter into, submit and fulfill this Terms and Conditions of TEEZAN, and to be a subject of litigation independently. Your agreement and fulfillment of this Terms and Conditions of TEEZAN do not violate any laws and regulations of the People' s Republic of China, or any other agreement you have entered into with a third party.

3. You grant TEEZAN and the third party TEEZAN specified the right and license to use, display and publish the personal information you have submitted, including but not limited to your name, appearance, biographical information, photographic image, resume, interview video and image.

4. By submitting the Design to TEEZAN you hereby grant TEEZAN the non-exclusive rights:

A. TEEZAN has the right to use, upload, modify, copy, sell, distribute, display the Design, and sub-license by TEEZAN to the relevant third party.

B. TEEZAN has the right to promote the Design, consign third party to produce the products featuring the Design (hereinafter called “Products”), to sell, distribute and transport the Products.

C. According to the strategy, the voting and purchase intention of the clients, TEEZAN has the right to determine whether to produce the Products, publish, advertise and remove the Design from the website.

D. TEEZAN has the right to determine the price of the Design and Products, and the amounts of your compensation, which could be modified by TEEZAN from time to time.

5. When you propose to withdraw the Design after the submission, you shall send the email concerning the withdrawal to “help@teezan.com”at least 30 days in advance. You also acknowledge the TEEZAN has the right to sell, distribute and transport the Products until the Products are all sold out.

6. The price of the Products displayed on TEEZAN include: the manufacturing fees, TEEZAN management fees, tax, your commisions, transportation fees, etc. You are paid the commisions only when the Products are sold successfully. The standards of commisions are:

A. Products featuring the Champion Design: the commision is 10% of the sold price. The Champion Design means the unique and specific one Design under one single topic which selected by TEEZAN or the third party from time to time.

B. Products featuring the General Design: the commision is 10% of the sold price. The General Design means the specific several Designs under one single topic which selected by TEEZAN or the third party from time to time.

C. Custom-made Products: the commision is 10% of the sold price. Custom-made Products means products featuring the design provided by the clients or provided by TEEZAN produced by website tools by the clients.

D. Crowd-funded Products: the commision is 10% of the sold price. Crowd-funded Products means products featuring the Design which sales amounts have satisfied the conditions of TEEZAN during the period of voting.

You shall be responsible for the tax of commision.

7. The price of the Products sold by TEEZAN or distributors outside TEEZAN website includes: the manufacturing fees, distribution costs, tax, your commision, transportation fees, etc. You are paid the commisions only when the Products are sold successfully. The standards of commisions are:

A. Products featuring the Champion Design: the commision is 5% of the amount sold by TEEZAN.

B. Products featuring the General Design: the commision is 5% of the amount sold by TEEZAN.

You shall be responsible for the tax of commision.

8. Payment of commision

A. Commision arising from the transactions on TEEZAN website: orders of purchase shall be settled only when they are successfully transacted and no refund happens. The commision shall be calculated by TEEZAN and be paid to your personal account under TEEZAN website.

B. Commision arising outside TEEZAN website: orders of purchase shall be settled only when they are successfully transacted and no refund happens (the settlement date). The commision shall be calculated by TEEZAN and be paid to Alipay or Paypal accouts you designated on TEEZAN. The settlement period shall be 30 days from the settlement date.

9. When TEEZAN produce the promotion products like calendars, books, etc for the promotion of TEEZAN, you grant TEEZAN the right to use the Design and no commision are required.

10. When you violate Article 1 of this Terms and Conditions of TEEZAN, you shall return all the commision to TEEZAN. If you cause any loss to TEEZAN, TEEZAN shall be fully compensated.

11. If you are prohibited from receiving the commision under the laws and regulation of the People' s Republic of China, Zen has the right to refuse to pay the commision.

12. If any litigation, prosecution, compensation related to the legitimacy of the Design, the distribution of Products, the promotion, etc, you shall agree to assist TEEZAN or distributors to respond or defend. You also shall protect TEEZAN from being prosecuted by any third party. If the Design or Products are infringed by any third party, you grant TEEZAN the right to file a lawsuit or claim the responsibility of the third party.

13. The Design must conform to the principle of Public Order and Good Custom, and must not be insulting, indecent, defiant, defamatory, slanderous or libelous, etc.

14. This Terms and Conditions of TEEZAN shall be effective since the submission of the Design by you. TEEZAN shall have the right to modify the terms and conditions from time to time which shall be effective when published on TEEZAN website. If you do not agree with such modification, you shall notice TEEZAN to remove the Design or Products from TEEZAN website. But you also acknowledge the TEEZAN has the right to display, promote and sell the Products until the Products are all sold out. The notice shall not affect the Products which have been sold.

15. When loss or theft of data of TEEZAN are caused by earthquake, war, hacker attack, or other unpredictable or irresistible reasons, TEEZAN shall not take any responsibility.

16. The settlement of dispute

In the event of any dispute between you and TEEZAN concerning the execution or performance of this Terms and Conditions of TEEZAN, or any matters related to this Terms and Conditions of TEEZAN, it shall be submitted to the Shanghai Yangpu District People’s Court for settlement and shall be governed by the laws and regulations of the People’s Republic of China.
